THE SEEG CASE: THE RESOLUTION BY THE END OF JUNE? AFFAIRE SEEG: LA RÉSOLUTION À LA FIN DE JUIN ?

La Lettre du Continent informs us that a general assembly meeting of shareholders of SEEG will be held on June 29, in Libreville.

Veolia, which is still a shareholder, has asked the Gabonese Minister of Water and Energy, Patrick Eyogo Edzang, to take an active part in this meeting and make available all the accounting data needed by the shareholders ahead of time.

In a letter sent to Veolia on May 29, Patrick Eyogo Edzang says: "no event should be able to disrupt the holding of this assembly". Veolia's concerns stem from the fact that Patrick Eyogo Edzang expressly called on the SEEG Board of Directors to manage this meeting from start to finish; however, this is normally the responsibility of senior management and company staff, in accordance with Ohada law.

Veolia angrily responded by telling Patrick Eyogo Edzang that the logistical support and the presence of executives of the SEEG were essential to the holding of this meeting. Assuming that the state of Gabon stays on its position, La Lettre du Continent assumes that Veolia would threaten to cancel its participation to the meeting, but that would allow Libreville to obtain the desired effect that would be the withdrawal of Veolia.

La Lettre du Continent nous informe qu’une assemblée générale des actionnaires de la SEEG se tiendra le 29 juin, à Libreville.

Veolia, qui est toujours actionnaire, aurait demandé au ministre gabonais de l'Eau et de l'Energie, Patrick Eyogo Edzang, de participer activement à cette rencontre et de rendre accessible suffisamment tôt, tous les éléments comptables dont auront besoin les actionnaires.

Dans un courrier envoyé à Veolia le 29 mai, Patrick Eyogo Edzang affirme: "qu'aucun événement ne devrait pouvoir venir perturber la tenue de cette assemblée". Les inquiétudes de Veolia auraient pour origine le fait que Patrick Eyogo Edzang ait appelé expressément le conseil d'administration de la SEEG à gérer cette réunion de bout en bout ; or cette mission incombe normalement à la direction générale et au personnel de l'entreprise, conformément au droit Ohada.

Veolia se serait fâchée en disant à Patrick Eyogo Edzang que le soutien logistique et la présence des cadres de la SEEG était indispensable à la tenue de cette assemblée. A supposer que l'Etat du Gabon campe sur sa position, La Lettre du Continent dit que Veolia menacerait d'annuler ce rendez-vous, mais que cela permettrait à Libreville d'obtenir l'effet recherché qui serait le désistement de Veolia.
